By accessing and using the website rusticdtnk.top and engaging the services of rusticdtnk B.V., you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service or access our website.

Client Obligations

Confidentiality

We understand that in the course of providing services, we may have access to confidential and proprietary information. We agree to:

• Return or destroy confidential materials upon completion of services

This confidentiality obligation survives termination of any service agreement and continues indefinitely.

Payment Terms

Payment terms for services will be specified in individual service agreements. Unless otherwise agreed:

• Invoices are payable within 30 days of invoice date
• Late payments may incur interest charges at the rate of 1.5% per month
• We reserve the right to suspend services for overdue accounts
• All fees are exclusive of applicable taxes unless specifically stated otherwise

Limitation of Liability

To the fullest extent permitted by applicable law, rusticdtnk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services or website.

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for the specific services giving rise to the claim during the twelve months preceding the claim.

Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

Professional Standards

rusticdtnk commits to providing services in accordance with professional standards and industry best practices. However, we make no warranties or guarantees regarding specific outcomes or results from our services.

The success of operations management initiatives depends on various factors including client commitment, market conditions, and implementation effectiveness, many of which are beyond our control.

Force Majeure

Neither party shall be liable for any failure or delay in performance under these terms which is due to fire, flood, earthquake, pandemic, governmental action, war, terrorism, or other causes beyond the reasonable control of such party.

Termination

Either party may terminate a service agreement with written notice as specified in the individual agreement. Upon termination:

• All outstanding fees become immediately due and payable
• Each party shall return confidential materials of the other party
• Provisions regarding confidentiality, intellectual property, and limitation of liability shall survive
• We will provide reasonable transition assistance as agreed

We reserve the right to terminate services immediately if a client breaches material terms of the agreement or engages in unlawful conduct.

Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR). By using our services, you consent to such processing and warrant that all data provided is accurate.

Governing Law and Jurisdiction

These Terms of Service shall be interpreted and governed by the laws of the Netherlands. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of the Netherlands.

Where the client is located outside the Netherlands, we may agree to alternative dispute resolution mechanisms including arbitration under the rules of the Netherlands Arbitration Institute.

Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these terms will otherwise remain in full force and effect and enforceable.

Modifications

We reserve the right to modify these Terms of Service at any time. We will provide notice of material changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated terms.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and rusticdtnk regarding the use of our website and services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
